This Vendor Registration Agreement applies to every fabrication shop that creates a Vendor account on Fabmaster. It governs verification, capability declarations, capacity-limit protection, membership, SLAs, ratings, the off-platform prohibition, and the standing platform NDA. It supplements the Fabmaster Terms of Service.

Eligibility & Verification
To list a shop on Fabmaster, you must operate a U.S.-registered legal entity with a real, domestic fabrication facility and the authority to bind that entity to this Agreement. You agree to complete the verification stack applicable to your selected tier:
- Basic (Free): business registration, equipment list and AI capability profile, internal AI fraud score, and Google Street View address confirmation.
- Verified: all Basic steps, plus a date-stamped signage/facility photo, a scheduled phone & video verification, and a recorded virtual shop inspection.
- Premium Certified: all Verified steps, plus a paid independent consultant review.
No listing is made visible to Buyers until Fabmaster has affirmatively approved it. Verification status may be revoked at any time if the underlying facts change or if Fabmaster reasonably believes the listing no longer reflects shop conditions.
Capability Declarations
You agree that the equipment list and capability declarations you submit are accurate, current, and complete to the best of your knowledge. After our AI generates a structured capability profile from your equipment list, you are responsible for reviewing, correcting, and confirming that profile before it is used for matching.
You will keep your capability profile up to date as you add, remove, or substantially modify equipment, certifications, or materials handled. Misrepresentation of capabilities is grounds for immediate suspension, removal, and forfeiture of the Verified or Premium Certified badge.
Capacity Limit Protection
To protect your shop from accepting more work than it can safely deliver, Fabmaster enforces a capacity limit on every Verified and Premium Certified Vendor.
How the limit is set
- You declare your highest gross revenue year over the last three fiscal years (the "Reference Year"). Financial data you submit is held in confidence and used solely to set the limit.
- Your maximum annual acceptance ceiling equals 130% of the Reference Year.
- Your maximum single-job acceptance equals 40% of the ceiling.
The Platform will not allow you to accept matches that would exceed either threshold. You may request a review and adjustment by submitting updated financials; Fabmaster will evaluate and respond within ten (10) business days.
The capacity limit exists to protect your reputation and your buyers. It is not a guarantee of work volume.
Membership Tiers & Fees
Membership fees are billed in advance on the cadence selected at signup (monthly or annual where offered) and are non-refundable except as expressly stated. Tier benefits are described on the Pricing page and may be updated from time to time; material reductions in benefits during a paid period will be matched by a pro-rata credit or refund.
Engagement fees and direct payment mechanics are governed by the Terms of Service.
Response & Quoting SLAs
Verified and Premium Certified Vendors agree to acknowledge AI-matched RFQs within two (2) business days and to submit or decline a preliminary anonymous quote within five (5) business days of match, unless the Buyer's RFQ specifies a tighter window. Consistent failure to meet these SLAs will reduce match priority and may trigger demotion of tier benefits.
Ratings
After job completion, both parties rate each other across quality, schedule, communication, and overall experience. Ratings are permanent and form your durable reputation on the Platform. Ratings may be removed only through a formal dispute process where the rated party demonstrates the rating was the result of factual error, mistaken identity, or violation of Fabmaster's content policies.
Off-Platform Prohibition
You agree not to use information obtained through the Platform — including counterparty identity revealed after acceptance, RFQ content, drawings, specifications, or capability data — to transact with any Buyer first introduced through Fabmaster outside the Platform in a manner that avoids or reduces the engagement fee, for a period of twenty-four (24) months from the introduction. Breach is treated as collusion under the Terms of Service and renders you jointly liable for the engagement fee that would otherwise have been due, plus enforcement costs.
Standing Platform Non-Disclosure Agreement
By registering as a Vendor, you enter into the following standing non-disclosure agreement with every Buyer whose drawings, specifications, or technical documents you are granted access to through the Platform.
Confidentiality Obligations
Vendor acknowledges that drawings, specifications, engineering files (including but not limited to DXF, DWG, STEP, IGES, PDF, and native CAD formats), bills of materials, process documents, tolerance sheets, finish requirements, supplier information, pricing, and any other proprietary information disclosed by a Buyer through the Platform (collectively, "Confidential Information") are the exclusive property of the Buyer.
Vendor agrees to: (i) hold all Confidential Information in strict confidence; (ii) use it solely to evaluate and, if engaged, fulfill the specific job to which it relates; (iii) not copy, reproduce, transmit, post, publish, or disclose it to any third party (including employees, contractors, and affiliates) without the Buyer's prior written consent, except to personnel with a strict need to know and who are themselves bound by equivalent confidentiality obligations; (iv) implement reasonable physical, administrative, and technical security measures to protect it from unauthorized access or disclosure.
This obligation survives the completion, cancellation, or non-award of any job or quote, and the termination of Vendor's Fabmaster membership, and remains in effect for five (5) years from the date of disclosure of the relevant Confidential Information.
Vendor acknowledges that any breach may cause irreparable harm to the Buyer for which monetary damages would be inadequate, and that the Buyer shall be entitled to seek injunctive relief in addition to all other remedies. Fabmaster may immediately suspend or terminate any Vendor found in breach and may share evidence of the breach with the affected Buyer to support enforcement.
